Yun Shui Terms of Service
以下條款(以下稱「本條款」)適用於由雲水堂 (Yun Shui Ltd.) 所舉辦並於旗下網站及相關頁面(以下合稱「雲水堂」「我們」「本公司」或「我們的」)公開招募的所有實體課程/活動(以下稱「活動」或「Event」)。
These Terms of Service (the "Terms") apply to the in-person event(s) ("Event") hosted by Yun Shui Ltd. (hereinafter referred to as "Yun Shui," "We," "Our," or the "Company"), as published on our official website(s) or relevant online pages.
一、同意條款
1. User Agreement
1.1 適用對象 Scope of Application
不論個別使用者(包括活動參與者與訪客)其物理位置於何處,只要連結或使用我們所提供的活動報名服務,即表示已知悉且同意本條款。若您不同意本條款之部分或全部內容,請立即停止使用或報名雲水堂的活動。
Regardless of the location of each user (including potential participants and visitors), by accessing or using our event registration services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you disagree with part or all of these Terms, please cease using Yun Shui’s services immediately.
1.2 年齡限制 Age Restrictions
若使用者未滿 19 歲,應取得法定代理人(父母或監護人)同意後,方得報名或參加本公司活動。年滿 19 歲者可自行報名參與。
If you are under the age of 19, you must obtain consent from your legal guardian (parent or guardian) before registering for or attending any of Yun Shui’s events. Participants who are 19 years old or older may register independently.
1.3 隱私權政策 Privacy Policy
我們將依照適用法律及本公司隱私權政策,保護所有使用者提供之個人資料。
We protect the personal data provided by all users in accordance with applicable laws and with our Privacy Policy.
二、本條款更新
2. Terms Update
2.1 更新權利 Modifications
雲水堂得在法律允許之範圍內,隨時修改本條款之全部或部分內容,並以公告或適當方式通知使用者。更新內容自公告時起生效。
Yun Shui reserves the right to modify or amend any part of these Terms at any time, to the extent permitted by law, and will notify users by posting an announcement or sending a notice. Such modifications are effective immediately upon posting.
2.2 續用視同同意 Continued Use
若使用者於本條款修正後,仍繼續使用或參加本公司活動,即表示同意並接受修訂後之條款。若使用者不同意,應立即停止使用並退出活動報名。
By continuing to use or attend our events after the amendments become effective, you agree to abide by the revised Terms. If you do not agree, please discontinue your use and withdraw from any registered events immediately.
三、活動介紹與參與
3. Event Description & Participation
3.1 實體課程/活動內容 In-Person Events
雲水堂之活動係指本公司所主辦之各式實體課程或活動。課程日期、地點、時長、以及指導講師等資訊將於報名時另行公告或說明。
Yun Shui’s events refer to various in-person courses or programs hosted by the Company. Details such as event date, location, duration, and instructor information will be announced or specified at the time of registration.
3.2 風險告知 Risk Notice
因為本活動有可能涉及使用工具、設備或材料,參加者應理解並承擔相關人身或財產風險。詳見本條款「第七條 (7)」之風險承擔與免責聲明。
Certain Events may involve the use of tools, equipment, or materials. Participants should be aware of and assume any associated personal injury or property damage risks. See Section 7 (Acceptance of Risks and Release of Liability) of these Terms for further details.
四、費用、付款與報名
4. Fees, Payment & Registration
4.1 費用構成 Fee Structure
報名參加實體活動須支付參與費(Fee),並可能包含適用稅金。若活動須收取訂金 (Deposit) 或有分期支付規範,則將於活動頁面或報名流程中明確說明。
A participation fee (“Fee”) is required for attending any of our in-person events, plus applicable taxes. If a deposit (“Deposit”) or installment schedule is required, it will be clearly stated during registration or on the event page.
4.2 付款方式 Payment Method
參與者可選擇信用卡、電匯或其他本公司指定之方式支付活動費用。
Participants may pay via credit card, e-transfer, or other methods as designated by the Company.
4.3 未付清款項 Consequence of Non-Payment
若參與者未於活動開始前繳清費用,本公司有權取消其報名並不予退還訂金(如有)。
If the Participant fails to pay any remaining balance before the start of the Event, Yun Shui has the right to cancel the registration and forfeit any deposit paid.
提醒: 缺席政策 (Absence) 已獨立成另一文件,故本條款不包含請假或補課相關規定。
Note: The Absence Policy has been separated into a standalone document; hence, no absence- or make-up-related clauses are included here.
五、保證與陳述
5. Warranties & Representations
5.1 本公司之保證 Yun Shui’s Warranties
雲水堂依照加拿大卑詩省法律合法設立並存續,有權提供並舉辦本活動,並已取得適當的商業綜合保險以涵蓋活動風險。
我們將依活動性質,提供合適且符合安全規範的場地、工具及設備。
除上述所列者外,雲水堂對活動不作其他明示或默示之保證。
Yun Shui warrants:
It is duly established and validly existing under the laws of the Province of British Columbia, Canada, and has obtained appropriate commercial general liability insurance covering the Event.
It will provide an appropriate environment, tools, and equipment suitable for the nature of the Event, complying with applicable safety regulations.
Except for the express warranties stated above, Yun Shui makes no other express or implied warranties regarding the Event.
5.2 參與者之保證與陳述 Participant’s Warranties & Representations
參與者保證具有完全行為能力並自願決定參與本活動。
參與者同意並瞭解本活動可能涉及一定風險,並同意依「第六、七條」進行知情同意與風險承擔。
Participants warrant:
They have the full legal capacity to enter into this arrangement and voluntarily choose to participate.They acknowledge the potential risks involved in the Event and agree to Sections 6 and 7 regarding informed consent and acceptance of risks.
六、知情同意
6. Informed Consent
6.1 活動性質與風險 Nature of the Event and Risks
參與者了解:本活動可能涉及操作工具或材料,並在有規劃與監督下仍存在受傷或財損之可能。也可能存在目前未知或無法預見的風險。參與者在此明確表示已知悉並同意參加。
Participants understand that the Event may involve the use of tools or materials, which carry inherent risks of injury or property damage, even with careful planning and supervision. There may also be unforeseen or unknown risks. Participants hereby explicitly acknowledge and consent to participate.
6.2 簽署確認 Signature/Initial
在正式完成報名或簽署書面同意時,參與者應於指定欄位簽名/蓋章或打勾確認,表示同意風險說明並自願參與。
Participants are required to sign/initial or check a consent box to confirm their acknowledgment of the risks and their voluntary participation when completing registration or signing any relevant form.
七、風險承擔與免責聲明
7. Acceptance of Risks & Release of Liability
7.1 風險承擔 Acceptance of Risks
參與者同意承擔參加本活動過程中可能發生的身體傷害、財產損失或其他相關風險(包括永久殘疾或死亡)。
Participants agree to assume all risks of personal injury, property damage, or other losses (including permanent disability or death) that may occur during the Event.
7.2 免責聲明 Release of Liability
基於參與者得以獲取本活動中之技能或經驗,參與者同意在法律允許範圍內,免除本公司及活動講師因一般疏忽所造成之人身或財損責任,惟重大過失與故意不在此限。
In consideration of the opportunity to gain skills or experiences from the Event, participants agree, to the extent permitted by law, to release Yun Shui and its instructors from liability for personal injuries or property damages arising out of ordinary negligence. This release does not apply to gross negligence or willful misconduct.
八、參與者義務
8. Participant’s Obligations
8.1 遵守規則與指示 Compliance
參與者應遵守活動相關安全與健康規定,並遵照本公司或活動講師所提出的現場指示。
Participants must comply with all health and safety rules and follow any instructions given by the Company or the instructor.
8.2 行為責任 Behavior & Responsibility
參與者對自身行為負全部責任,不應期待本公司或講師對其進行全程監控。若參與者之行為妨礙他人或有害其他人利益,本公司有權中止該參與者之資格,且不予退費。
Participants are fully responsible for their own conduct and must not expect full-time supervision by the Company or instructor. If a participant’s behavior jeopardizes others’ interests or is deemed harmful, the Company reserves the right to terminate the participant’s eligibility without refund.
8.3 活動資料與內容限制 Recording & Materials
參與者 不得 未經本公司事前書面許可下,私自錄影、錄音、複製或分享課程內容(含課程教材、影音、照片等)予任何第三方或公開於網路平台。
Participants shall not, without prior written consent from the Company, record, copy, or share any course materials (including documents, videos, audio, or images) with any third party or on any public platform.
九、本公司義務
9. Organizer’s (Yun Shui’s) Obligations
9.1 合適之講師與場地 Suitable Instructor & Venue
本公司將指派具備建築/施工或相關領域經驗之適當講師,並維持符合安全法令要求之教學環境、工具及設備。
The Company will engage qualified instructors with relevant construction or related expertise and maintain a venue, tools, and equipment that meet applicable safety regulations.
9.2 保險購買 Insurance
本公司已投保合理之商業綜合保險,為其營運事項提供保障。
We have obtained appropriate commercial general liability insurance to provide coverage for its operation.
9.3 個資保護 Personal Information Protection
本公司遵照卑詩省及加拿大相關法令,保護參與者個人資料,除非法律要求、取得參與者書面同意,或基於顧問/律師需求,否則不會對外揭露。
We protect participants’ personal information in compliance with the laws of British Columbia and Canada, and will not disclose such information unless required by law, with participant’s written authorization, or necessary for our counsel to act.
十、服務終止
10. Term & Termination
10.1 合約期間 Agreement Duration
本條款自參與者完成活動報名或同意加入活動時起生效,於該活動結束後自然終止,或依本條款約定提前終止。
These Terms become effective once a participant completes registration or agrees to join an Event and shall continue until the end of the Event, unless earlier terminated in accordance with these Terms.
10.2 提前終止 Early Termination
若本公司出現重大違約(如無法提供活動、經營破產等),參與者得以書面通知方式要求解除合約;
若參與者未依規定支付費用或有重大違反本條款情事,本公司得以書面通知方式終止其參加資格。
其他原因之終止,雙方應依誠信原則協商。
If Yun Shui materially breaches these Terms (e.g., fails to provide the Event or becomes insolvent), participants may terminate by written notice.
If the participant fails to pay the Fee or commits a serious breach of these Terms, the Company may terminate the participant’s eligibility by written notice.
Any other grounds for termination shall be negotiated in good faith by both parties.
十一、保密義務
11. Confidentiality
11.1 機密資訊範圍 Definition of Confidential Information
參與者自本公司處所取得之任何未公開、專有資料(例如課程教材、商業計畫、設計圖樣、定價資訊等),均屬「機密資訊」,不得未經授權對外揭露或使用。
Any non-public, proprietary information obtained from the Company, including but not limited to course materials, business plans, design documents, or pricing information, is considered “Confidential Information” and shall not be disclosed or used without authorization.
11.2 例外 Exceptions
以下情況不在保密範圍:
(a) 已屬公開領域者;(b) 參與者已在取得前知悉者;(c) 由第三方合法取得且無保密限制者。
Confidential Information does not include: (a) information already in the public domain; (b) information that the participant already knew prior to disclosure; (c) information lawfully obtained from a third party without any confidentiality obligation.
十二、一般性條款
12. General Provisions
12.1 管轄法律 Governing Law
本條款及一切相關事宜,均應以加拿大卑詩省法律及適用之加拿大聯邦法律為準據法,不適用該地區之法律衝突規定。
These Terms and any related matters shall be governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of laws principles.
12.2 爭議解決 Dispute Resolution
若因本條款發生爭議,雙方應先以誠意協商。協商不成者,任一方得向卑詩省有管轄權之法院提起訴訟。
In the event of a dispute, the parties shall first attempt to resolve it in good faith. Failing such resolution, either party may bring an action in the competent courts of British Columbia.
12.3 不可抗力 Force Majeure
如遇不可抗力(如天災、流行病、戰爭、政府命令等),導致任何一方無法或延遲履行義務者,不視為違約。但受影響一方應於合理期間內通知並於情勢消除後立即恢復履行。若此情況超過 30 日未能解決,任一方得以書面通知終止活動並不承擔違約責任。
Neither party shall be deemed in default or liable for delays or failure in performance resulting from force majeure events (e.g., natural disasters, pandemics, war, governmental orders, etc.). The impacted party shall promptly notify the other and resume performance when feasible. If the impact continues beyond 30 days, either party may terminate the Event upon written notice without incurring liability.
12.4 所有同意事項 Entire Agreement
本條款與本公司另行訂立之書面合約(若有)構成本活動之完整約定,並取代先前口頭或書面之所有協議。
These Terms and any additional written agreements (if any) constitute the entire agreement regarding the Event and supersede all prior oral or written understandings.
12.5 條款可分割性 Severability
若本條款某部分於任何司法管轄被認定為無效或不可執行,不影響其他條款之效力。
If any provision of these Terms is held invalid or unenforceable in any jurisdiction, it shall not affect the validity or enforceability of the remaining provisions.
12.6 棄權 Waiver
任何一方未行使或延遲行使本條款任何權利,不應視為對該權利之放棄。
No failure or delay by either party in exercising any right under these Terms shall be deemed a waiver of that right.
12.7 修訂 Amendment
本條款之修改,須經本公司以公告形式或書面通知進行,並於公告或通知後生效。
Any amendment to these Terms shall be made by the Company via announcement or written notice and shall become effective upon posting or notification.
12.8 無第三方受益人 No Third-Party Beneficiaries
本條款不因任何內容賦予第三人權利或救濟。
These Terms do not confer any rights or remedies upon any person other than the parties hereto.
12.9 語言版本 Language Versions
若本條款之中英文版本有歧異時,應以英文版本為準。
If there is any conflict or discrepancy between the Chinese and English versions of these Terms, the English version shall prevail.
